The holding company and the Board of Directors

The holding company, Radici Partecipazioni SpA, directs and coordinates the activities of all the subsidiaries according to the guidelines laid down by the Board of Directors. It also provides a number of centralised services via the corporate departments. The holding company tasks the Board of Directors with administration and control activities, assigning them strategic and administrative tasks, as well as the Board of Auditors.

The Group’s production and commercial activities are entrusted to the operational entities which implement the Group’s business plan in accordance with instructions from the Board of Directors. The areas established according to the type of production or process technology are each led by a manager appointed by the Board of Directors of Radici Partecipazioni. The managers of the various business areas also sometimes act as managing directors of the respective companies, subject to ordinary administrative.

Anti-corruption Policy

In keeping with its values and its Code of Ethics, RadiciGroup has always adopted and promoted the use of models and solutions aligned with the principle of “zero tolerance” towards any form or act of corruption, undertaking to work with honesty, integrity and in full compliance with the laws, regulations and standards designed to combat corruption. By adopting this policy, RadiciGroup incorporates the principles and rules for preventing and combating corruption into a comprehensive framework.

Reports of irregular conduct

Whistleblowing

RadiciGroup has set up a whistleblowing portal, enabling individual to report irregular behaviour or violations of the Code of Ethics, the Organisational Model pursuant to Legislative Decree 231/2001 (where applicable), Group governance procedures or external regulations in good faith. The portal is accessible to employees, customers, suppliers, business partners, consultants and contract workers.

 

Reports must be based on solid and verifiable facts, and help to protect the integrity of RadiciGroup and its stakeholders. The procedure is updated pursuant to Legislative Decree 24/2023 and is an essential tool for ensuring honesty, respect and transparency within the company.
